Applies to eToro (Europe) Limited, licensed by CySEC under number 109/10, under the terms published 12.08.2026. Here whether you get a real share depends on the trade rather than on the instrument: the terms execute unleveraged buy orders in securities as securities, but execute leveraged buys, all short positions, trades by users from certain countries and trades on certain exchanges as CFDs instead, at eToro’s own discretion. In both cases the terms state that eToro may act as principal or on a matched principal basis and is the counterparty to your trades. The third-party depositary is never named.
Do you own real shares when you buy through eToro?
A real security — but not one registered in your name. eToro (Europe) Limited (Cyprus, CySEC 109/10) holds client investments through a nominee or custodian, pooled in an omnibus account together with other clients. You are the beneficial owner: the shares are yours rather than the firm's, but they are not separately identifiable as yours in the register.
“Your securities will be pooled together with our other clients' securities (we call this an 'Omnibus Account') with a third party depositary in the name of eToro Europe on behalf of our clients. In such case, it may not be possible to separate your securities from those of other clients.”
What happens to your holdings if eToro fails?
Here is what eToro (Europe) Limited (Cyprus, CySEC 109/10) says in its own document, in its own words — including the part that qualifies it.
“If we or our third-party nominee becomes insolvent, your securities may not be immediately identifiable by separate certificates, physical documents, or equivalent electronic entries on the register. Instead, any claim will be against the Omnibus Account, and therefore more time might be needed for us to identify which securities are yours, and which belong to a different client.”

Does eToro sell CFDs on shares, and what changes if it does?
Alongside real shares, eToro also sells contracts for difference on equities. That is a different product with a different answer: no underlying instrument changes hands on either side, and the position is an agreement with eToro (Europe) Limited (Cyprus, CySEC 109/10) rather than something you hold.
“We may act as principal or on a matched principal basis when providing you with the CFD Trading Services. This means we will be the counterparty to your trades.”
Can a loss at eToro follow you past your balance?
Not as a retail client of eToro (Europe) Ltd (Cyprus, CySEC 109/10) — negative balance protection caps your loss at the account balance. That protection is tied to retail classification: if you ask to be reclassified as a professional client, it goes away. One qualification: eToro (Europe) Ltd states this protection for CFD trading specifically, not for everything held in the account.
